TITLE:  International Tax Counsel
PURPOSE OF POSITION:
Develop strategic tax planning designed to minimize the Company’s overall tax burden and to ensure compliance with the requirements of federal tax laws.  Heavy emphasis on all phases of international taxation, including issues related to Subpart F, joint ventures and transfer price.
PRIMARY RESPONSIBILITIES:
Provide tax advice to staff and operating management with respect to structuring the acquisition of new businesses as well as the divestiture of existing operations.
Advising other departments of the Company regarding the tax implications of various policies and operations.
Advising in the implementation of required changes precipitated by new tax legislation.
Seek rulings and opinions from the IRS with regard to proposed business transactions, methods of accounting with the objective of minimizing the Company’s taxes while complying with the requirements of the tax laws.
KNOWLEDGE AND SKILLS REQUIRED:
JD Degree in Law, as well as admission to the Bar.  Proven proficiency in analysis of all areas of tax law.
Broad exposure in tax field with experience with international tax.
CPA or LLM in taxation desirable.
Education and/or training in other specialized tax areas desirable.
EXPERIENCE:
Five to ten years experience in a combination of public accounting, private law firm or Corporate Tax Department of a large multi-national corporation.
Technical development and implementation of tax planning projects.
Broad exposure to tax planning concepts.
Experience working on internal restructurings and M&A transactions desirable.
